EARLY ACCESS PROGRAM (EAP) NOTICE

The Services are currently in an "Early Access" or "Beta" phase. They are provided for testing and evaluation purposes only and may contain bugs, errors, or incomplete features. Laketap makes no availability or uptime commitments (SLA) for EAP services. You should not use EAP services for critical production payloads without understanding these risks. During EAP there is no control plane or required telemetry; runtime data stays inside your VPC.

1. Agreement to Terms

By accessing or using Laketap's website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services. These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles, and you consent to the non-exclusive jurisdiction of the courts of Hong Kong for any disputes.

2. Use of Services & License

2.1 License Grant: Subject to these Terms and any applicable Master Subscription Agreement (MSA), Laketap grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes within your own Virtual Private Cloud (VPC).

2.2 License Restrictions: You may not:

  • Sublicense, sell, or resell the Services;
  • Use the Services to provide a managed service or time-sharing service to third parties;
  • Deploy the Services in regions or environments not authorized in your Order Form (if applicable).

2.3 Usage Limits: Licenses are granted based on specific metrics (e.g., number of nodes, CPU cores, cache capacity, enabled connectors) as defined in your Order Form. During EAP or invite-based trials, usage is limited to the caps communicated in your invite or MSA (e.g., single cluster, node/CPU/cache caps); exceeding these limits requires prior written approval.

3. Intellectual Property & Feedback

3.1 Laketap Property: We retain all rights, title, and interest in and to the Services, including all related intellectual property rights. The Laketap software, code, and documentation are protected by copyright and other laws.

3.2 Customer Data: You retain all rights and ownership of your data ("Customer Data"). We claim no ownership over the data you process using Laketap.

3.3 Feedback: If you provide suggestions, bug reports, or other feedback ("Feedback"), you grant Laketap a perpetual, irrevocable, royalty-free license to use that Feedback to improve our Services.

4. User Responsibilities & Telemetry

  • Infrastructure: You are responsible for the security, configuration, and costs of the cloud infrastructure (VPC, storage, compute) where Laketap is deployed.
  • Telemetry (EAP): No online license verification or required telemetry is used during EAP. Optional diagnostics (logs, performance traces, crash reports) are disabled by default and may be enabled or disabled at any time; turning them off will not affect license validity.
  • License Scope: Usage is limited to the node/environment counts and term specified in your Order Form. Without online metering, you agree not to exceed these limits; expansions require written agreement.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials.

5. Disclaimers

5.1 "As Is" Basis: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5.2 No Liability for User Infrastructure: LAKETAP IS NOT RESPONSIBLE FOR ANY ISSUES, DATA LOSS, OR SECURITY BREACHES ARISING FROM YOUR CONFIGURATION OF YOUR VPC, CLOUD ACCOUNTS, OR NETWORK SETTINGS.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LAKETAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL BE LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Support & Updates

During the EAP phase, support is provided on a "best effort" basis. We may release security patches or updates; you are responsible for applying these updates to your VPC deployment in a timely manner (e.g., within 7 days for critical security fixes).

8. Termination

Upon termination of your license or these Terms, you must immediately cease use of the Services and delete all copies of the Laketap software and license keys from your infrastructure. A 30-day grace period may apply for license expiration; after that, continued use without renewal constitutes a breach. Your own data in your storage buckets remains under your control.

9. Indemnification

You agree to indemnify and hold harmless Laketap and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
